DeepBrainz AI Trusted Tester Program Terms
By participating in the DeepBrainz AI Trusted Tester Program (“Program”), you agree to this Agreement’s terms on behalf of yourself and any entity you represent (“You”).
- Program Participation
1.1 Purpose: You are invited to test pre-release DeepBrainz products and provide feedback to assist with product improvement prior to public launch.
1.2 Test Products: You will receive access to confidential unpublished products not yet ready for general availability (“Test Products”). Multiple testing cycles may occur.
1.3 Product Terms: In addition to this Agreement, any terms accompanying the Test Products also apply to your usage.
1.4 Feedback: Any feedback provided must be Your original work, truthful, and avoid disclosing third-party confidential information.
1.5 Compensation: You will not receive any compensation for participation. DeepBrainz may suspend or terminate You from the Program at any time.
- Test Product Access and Usage
2.1 Permitted Usage: You may access Test Products solely for testing within the Program’s scope during the term of this Agreement.
2.2 Usage Restrictions: You will not distribute, share or enable Test Product access beyond authorized Program participants.
2.3 Compliance Requirements: When accessing Test Products, You must adhere to all Program instructions, policies and documentation provided by DeepBrainz.
2.4 Prohibited Access: You will not interfere with, reverse engineer, or otherwise attempt to inappropriately access Test Products.
- Intellectual Property
3.1 DeepBrainz Ownership: DeepBrainz retains all intellectual property rights to all Test Products, materials, documentation and technology provided for the Program.
3.2 Feedback Assignment: You hereby assign DeepBrainz all rights and ownership of any feedback provided, to the fullest extent permitted under law.
3.3 Feedback License: If feedback rights assignment is invalid, You grant DeepBrainz an unconditional royalty-free license to use and incorporate feedback into DeepBrainz products and services.
- Confidentiality
4.1 Non-Disclosure: You agree not to disclose any unpublished Test Product details or Program materials publicly without DeepBrainz’s authorization, unless required by law.
4.2 Confidentiality: All Test Products, documentation, and Program materials provided by DeepBrainz constitute DeepBrainz confidential information. All feedback provided is considered DeepBrainz confidential information.
- Personal Data
5.1 Data Usage: Your personal data will be used and processed to facilitate and administer the Program pursuant to the DeepBrainz Privacy Policy.
- Testing Responsibilities
6.1 Proper Usage: You agree to use Test Products properly and responsibly, without misuse. You agree to report any defects, issues or misuses promptly per Program guidelines.
6.2 Legal Compliance: You agree to comply with all applicable laws related to your Program participation and testing activities.
- Warranty Disclaimer
7.1 No Warranties: No warranties of any kind are provided by DeepBrainz with respect to pre-release Test Products. You access and use Test Products at your own risk.
- Limitation of Liability
8.1 Liability Cap: DeepBrainz’s total liability related to the Program is limited to Rs. 1000.
8.2 Exclusions: The cap does not apply to IP infringement, bodily injury claims, gross negligence or misconduct, or violations where liability cannot be limited under law.
- Indemnity
9.1 By You: You will defend and indemnify DeepBrainz against third party claims related to your Program feedback content.
- Governing Law and Jurisdiction
10.1 This Agreement is governed solely by the laws of Bangalore, India. All disputes will be settled exclusively in Bangalore courts.
- Term and Termination
11.1 Term: This Agreement is effective upon your participation in the Program.
11.2 Termination: Either party may terminate the Agreement immediately with notice.
11.3 Survival: Sections related to confidentiality, IP, liability exclusions, and others intended to survive will continue beyond termination.
11.4 Individual Termination: DeepBrainz reserves the right to terminate your individual participation for any violations of this Agreement.
- Communications
12.1 Notices must be in English writing and delivered via email or post using current DeepBrainz contact details provided.
- Miscellaneous
13.1 This Agreement represents the entire understanding between the parties related to the Program. This Agreement supersedes any prior agreements or understandings between the parties regarding the Program.
13.2 If any provision is invalid or unenforceable, the remaining provisions will continue unaffected.
13.3 This Agreement may not be modified except through a written amendment signed by both parties.
